These Terms and Conditions (“Agreement”) govern the relationship between the coworking or flexible office provider (“Operator”) and Coworkinglondon.com (“Platform”)
1. General Provisions
1.1 Acceptance of Terms
By registering and using the Platform, the Partner agrees to comply with and be bound by these Terms and Conditions.
1.2 Modification of Terms
The Platform reserves the right to modify these terms at any time. Any changes will be communicated to the Operator and will take effect immediately upon posting on the Platform.
2. Registration and Listing
2.1 Registration Process
The Operator must complete the registration process by providing accurate information and agreeing to these terms. The Platform reserves the right to approve or reject any registration.
2.2 Listing Requirements
The Operator agrees to provide accurate and complete information about their products and services, including descriptions and pricing. Listings are approved by the Platform before being published.
2.3 Content Responsibility
The Operator is solely responsible for the content they provide for their listings and agrees to update any information that becomes inaccurate or outdated. Listings cannot include any branding or backlinks.
3. Partner Obligations
3.1 Compliance with Laws
The Operator agrees to comply with all applicable laws and regulations of the United Kingdom in their use of the Platform and in the conduct of their business.
3.2 Quality Standards
The Operator agrees to maintain high standards of quality for the products and services listed on the Platform.
3.3 Customer Service
The Operator agrees to provide prompt and effective customer service to customers who purchase their products or services via the Platform.
4. Fees and Payments
4.1 Listing Fees
The Platform charges fees for Operators to list their space and services. The Partner agrees to pay all applicable fees as outlined in the Platform’s fee schedule.
4.2 Payment Terms
All payments will be processed in accordance with the payment terms specified by the Platform.
4.3 Commissions
The Platform charges the Operator commission fees for completed sale of services based on Operators’s level of membership. This is a pre-agreed percentage of the rental period for the duration of the service, up to a maximum of 12 months.
5. Intellectual Property
5.1 Ownership
The Operator retains ownership of all intellectual property rights in the content they provide. By listing on the Platform, the Partner grants the Platform a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display the content for the purposes of operating and promoting the Platform.
5.2 Infringement
The Operator agrees not to use the Platform to infringe on the intellectual property rights of others.
6. Confidentiality
6.1 Confidential Information
The Operator agrees to keep confidential any information obtained from the Platform that is not publicly available and to use such information only for the purposes of this Agreement.
7. Limitation of Liability
7.1 Limitation
The Platform’s liability to the Operator for any claim arising out of or relating to this Agreement or the use of the Platform will be limited to the amount of fees paid by the Operator to the Platform in the twelve months preceding the claim.
8. Indemnity
8.1 Indemnification
The Operator agrees to indemnify and hold harmless the Platform, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of or relating to the Operator’s use of the Platform or violation of these terms.
9. Miscellaneous
9.1 Governing Law
These terms and conditions will be governed by and construed in accordance with the laws of England and Wales.
9.2 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
9.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
9.4 Waiver No waiver of any term of this Agreement will be deemed a further or continuing waiver of such term or any other term, and the Platform’s failure to assert any right or provision under this Agreement will not constitute a waiver of such right or provision.
By using the Platform, the Partner acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
